These general Terms and Conditions (‘‘Terms’’) together with the Articles of Association govern your relationship with the Canada-United Kingdom Chamber of Commerce of Canada House, Trafalgar Square, London SW1Y 5BJ, a company limited by guarantee and registered in England and Wales with number 223529 (“the Chamber”, “we”, “us”, “our”).
1. Applications for Membership
1.1 Membership of the Chamber is open to either public or private business organisations or individuals in a business environment interested in the objects of the Chamber.
1.2 Admission is dependent on membership applications being approved by the Chamber Secretariat (‘‘Secretariat’’) or Chamber Board (‘‘Board’’) and payment of the admission fee, if any, for the category of membership for which such organisation or person is applying.
1.3 The annual and other subscriptions (if any) payable by the members are to be such as the Board from time to time prescribes.
1.4 Whenever you provide information to us, you agree to:
1.4.1 provide us accurate and complete information;
1.4.2 maintain and promptly update such information to keep it accurate and complete.
2. Membership categories
2.1 Charter membership (for larger corporations or SMEs by Chamber agreement)
2.1.1 Charter membership enables every employee nominee of the registered entity to take part in Chamber events at member discounted rates, to bring guests and clients along at member discounted rates for most events. Nominees will receive Chamber publications and can take advantage of Member Offers, as well as Charter member only events.
2.1.2 Charter members are listed as a member of the Chamber in all Chamber communications and directories. Charter members are entitled to be profiled on our website and in our publications after joining. Charter members may nominate a representative to the Chamber’s Nomination Committee to join the Board of the Chamber.
2.1.3 The role of the Board is to provide guidance and support to the Secretariat on the Chamber’s overall strategy and organisation.
2.1.4 The Board draws on the collective experience, insights, and vision of our corporate members, allowing the Chamber to position itself for current and future challenges, and help provide a higher level of support and benefits to its members and Secretariat.
2.2 Group membership (for large corporations with 50+ employees globally)
2.2.1 Group membership enables every employee nominee of the registered entity to take part in Chamber events at Member discounted rates, to bring guests and clients along at Member discounted rates for most events. Nominees will receive the Chamber publications and can take advantage of Member Offers.
2.2.2 Group members are listed as a member in Chamber directories. Group members are entitled to be profiled on our website and in our publications after joining.
2.3 SME Corporate membership (for corporations with less than 50 employees globally)
2.3.1 Only companies with less than 50 employees globally are allowed to join this membership category.
2.3.2 SME Corporate members have similar benefits to Group members.
2.4 Start Up membership (for corporations in the first 12 months of operation)
2.4.1 Start Up members have similar benefits to SME members.
2.5 Personal membership
2.5.1 This membership is designed for retirees and postgraduate students only.
2.5.2 This membership enables Personal members to take advantage of the same benefits as SME Corporate members with the exception that Personal members will not be profiled in the Chamber publications, nor badged at Chamber events as a corporate representative.
2.6 Honorary membership
2.6.1 The Secretariat and the Board have the power to invite individuals to become Honorary members of the Chamber if they consider that person to be deserving of special distinction.
2.6.2 An Honorary membership shall continue until the Secretariat and the Board resolves to revoke such membership.
2.6.3 All Honorary members shall be entitled to enjoy the same rights and be subject to the same obligations as enjoyed by Personal members save that there shall be no requirement to pay an annual subscription.
3. Membership fees
3.1 You agree to pay an annual payment (Annual Subscription) to the Chamber, the sum of which is set by the Chamber from time to time.
3.2 The membership period will run for 12 months from 1 January to 31 December, or 1 July to 30 June each year.
3.3 Members can join the Chamber at any time throughout the year and pay their Annual Subscription pro rata. If joining mid-year, members will be invoiced for the date of joining up to either the 31 December or 30 June following, and additionally for the 12 months thereafter.
3.4 Annual Subscriptions are automatically renewed each year on 1 January or 1 July as applicable. We automatically invoice members for membership renewal when falling due, unless you cancel your Annual Subscription by giving us at least 1 month written notice prior to the anniversary of your membership period.
4. Conduct of Members
4.1 Business Conduct
4.1.1 Each member must use his or her reasonable endeavours to promote the objects of the Chamber and shall not do anything that is likely to harm those objects.
4.1.2 Other than with the written permission of the Secretariat or Board, members must not:
(a) hold himself or herself out as a member of the Board or as a Secretariat Officer;
(b) use the name, address or logo of the Chamber in any advertisement, prospectus or letter heading for business purposes; or
(c) send unsolicited mail or spam to other members.
4.1.3 Members must:
(a) behave ethically in all their dealings with the Chamber and other members and their respective representatives and guests; and
(b) comply with the Terms of Website Use and Privacy Policies.
4.1.4 When attending Chamber meetings, functions and events (whether in the United Kingdom or abroad) members or any representative of a corporate member must:
(a) conduct themselves with decorum at all times;
(b) comply with and obey any reasonable requests made of him or her by individual members of the Board and Secretariat in relation to his or her attendance;
(c) avoid making any remarks or doing anything that is slanderous, racist, sexist, discriminatory or likely to be considered inappropriate by a reasonable person;
(d) respect the views of the Chamber and other members and their respective representatives and guests and members should try to avoid discussing politics and religion or any other topic that might be considered as controversial or likely to upset or irritate another person’s particular sensitivities.
4.2.1 Members (including any representative of a corporate member) may bring a guest to the regular networking events organised by the Chamber unless the guest:
(a) has attended two or more Chamber events in the previous calendar year but has not applied for membership;
(b) has had his or her application for membership declined; or
(c) was formerly a member but whose membership has been terminated (unless approved by the Secretariat).
4.2.2 Members are responsible for the conduct and behaviour of any representative or guest that they invite to attend a Chamber event.
4.2.3 Each Secretariat Officer may refuse admission of any person (whether that person is a member or a guest of a member) to any Chamber event without the need to give reasons for such refusal.
4.3 Use of the Chamber’s address
Members must not use the Chamber’s registered office address or any other address of the Chamber as his or her own address for any purpose.
If a member wishes to raise a complaint about any matter affecting the Chamber or his or her membership of the Chamber, he or she should initially address the complaint to the Chief Executive Officer of the Chamber Secretariat who may refer the matter to the Board (if he or she deems it appropriate). If the member remains unsatisfied having raised the complaint with the Chief Executive Officer the member should write to the President of the Chamber or, if the complaint concerns the President, to the Treasurer of the Chamber.
4.5 General meetings of the Chamber
4.5.1 All general meetings other than annual general meetings, shall be called extraordinary general meetings, and the Board may convene an extraordinary general meeting whenever it thinks fit.
4.5.2 The procedure governing the convening and the holding and conduct of annual general meetings shall be determined by the Chamber having regard to the Chamber’s Articles of Association.
4.5.4 No member shall, unless the Board otherwise determines, be entitled to vote at a general meeting or at any separate meeting of the holders of any category of membership either in person or by proxy in respect of any membership held by him or to exercise any right as a member unless all calls or other sums presently payable by him in respect of that membership in the Chamber (including for the avoidance of doubt subscription or renewal fees) have been paid to the Chamber.
5.1 You are entitled to terminate your membership at any time by giving us at least 1 month written notice to the following address: Canada-United Kingdom Chamber of Commerce of Canada House, Trafalgar Square, London SW1Y 5BJ.
5.2 The Chamber reserves the right to terminate, in its sole discretion, your membership at any time without notice if, in particular:
5.2.1 in the opinion of the Chamber you behave inappropriately towards other members or towards the Chamber;
5.2.2 in the opinion of the Chamber you bring the Chamber into disrepute or behave in any manner which seems likely to do so;
5.2.3 you fail to comply with Clause 3.1;
5.2.4 you fail to comply with relevant UK or Canadian legislation currently in force.
5.3 For the avoidance of doubt, you will not be entitled on termination of your membership to any refund, either in full or part, of any Annual Subscription that you have paid.
In the unlikely circumstance that changes have to be made to any event, we reserve the right to make any such changes to the list of activities, speakers, facilities, date or time. We reserve the right to use third parties in organising our events in order to offer the best possible service.
We reserve the right to charge you at cost for any damage caused by you or any guest or attendee whose attendance is booked and/or paid for by you to the premises where the event is held.
2. Event bookings
2.1 These Terms shall apply to all events organised by us and no variation to these Terms shall be valid unless we agree to it in writing. By making a booking request to attend one of our events you confirm your acceptance of these Terms.
2.2 Your booking request is an offer by you to enter into a binding contract with us, which we are free to accept or decline at our absolute discretion. We will contact you to confirm the booking at which point a contract will come into existence between us.
2.3 Your booking is only valid once adequate payment has been arranged prior to the event, unless otherwise individually agreed with the Chamber.
3.1 Cancellation by you
3.1.1 Unless otherwise specifically stated on the Chamber’s event registration form, if you wish to cancel a booking you should notify us of your cancellation more than 72 hours prior to the event to receive a full refund less a £10 Administration Charge. If you cancel 72 hours or less prior to the event you will be charged the full price of the event.
3.1.2 Participants may be substituted, provided the Chamber is notified in due course and at the discretion of the Chamber.
3.2 Cancellation by us
3.2.1 We will use our best endeavours to provide the events on the dates specified. However, if we need to cancel an event we will give you as much notice as possible. In these circumstances and subject to clause 3.3 below we will either refund the price of the event in full or, if you would prefer, we will put your payment towards another event. Please be advised that we cannot be held responsible for any travel or other related costs incurred should an event be postponed or cancelled.
3.2.2 We reserve the right to amend or cancel your event booking at any time. If your booking is cancelled we will refund any fees paid except in the case of Force Majeure.
3.3 Force Majeure
3.3.1 No refund of fees already paid is available where an event is cancelled for a reason that is beyond reasonable control of the Chamber (including but not limited to industrial disputes affecting any third party, governmental regulations or action, military action, fire, flood, disaster, civil riot, acts of terrorism or war) (“Force Majeure Event”).
3.3.2 The Chamber reserves the right to reschedule an event in the case of a Force Majeure Event.
4. Limitation of liability
4.1 Our maximum aggregate liability to you and any guest or attendee whose attendance is booked and/or paid for by you, and all losses, claims, demands, damages, costs and/or expenses of any kind howsoever arising out of or in connection with any event (including in respect of negligence) shall not exceed the price paid for the event in question.
4.2 Nothing in these Terms shall restrict and/or exclude in any way our liability for:
4.2.1 death or personal injury resulting from our negligence;
4.2.2 fraud or fraudulent misrepresentation.

2. Our right to vary the Terms
2.1 We have the right to revise and amend these Terms at any time in our sole discretion.
2.2 You will be subject to the policies and Terms in force at the time that you register as a member or order products from us, unless any change to those policies or the Terms is required to be made by law or governmental authority (in which case it will apply to orders previously placed by you).
3. Third Party rights
A person who is not party to the Terms or a Contract shall not have any rights under or in connection with them under the Contracts (Rights of Third Parties) Act 1999.
4.1 If a court or any other competent authority finds that any provision of these Terms (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed deleted, and the validity and enforceability of the other provisions of the Terms shall not be affected.
4.2 If any invalid, unenforceable or illegal provision of the Terms would be valid, enforceable and legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.
5. Governing law and jurisdiction
In the event of any dispute or claim arising out of or in connection with these Terms or its subject matter or formation (including non-contractual disputes or claims):
5.1.1 these Terms shall be governed by, and construed in accordance with English law.
5.1.2 the parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
